1. Acceptance of Terms

1.1. By registering as a seller on Kadoono.com ("Platform"), you ("Seller") agree to be bound by these Seller Terms and Conditions ("Agreement"), which constitute a legally binding agreement between you and Kadoono.com ("Company").

1.2. This Agreement governs your access to and use of the Platform and the services provided by the Company to facilitate online sales ("Services").

1.3. Your continued use of the Platform constitutes your ongoing acceptance of these terms.

2. Scope of Services

2.1. The Company provides an online marketplace that connects Sellers with buyers globally, offering listing services, marketing support, and transaction facilitation.

2.2. The Company acts as an intermediary and does not take ownership of the products listed by Sellers.

3. Seller Registration and Verification

3.1. Sellers must provide accurate, current, and complete business information during the registration process.

3.2. Sellers must maintain the accuracy of their registration information and promptly update any changes.

3.3. The Company reserves the right to verify the authenticity of Sellers and their products through reasonable means, including but not limited to requesting business licenses, certifications, and product samples.

3.4. Sellers must comply with all applicable international, national, and local laws and regulations, including trade laws, export controls, and consumer protection laws.

4. Product Listings and Requirements

4.1. Sellers are solely responsible for the accuracy, legality, and quality of their product listings.

4.2. Products must comply with all applicable international safety and quality standards, including but not limited to product labeling, safety certifications, and import/export regulations.

4.3. The listing of counterfeit goods, illegal products, hazardous materials, or any items prohibited by the Company's policies is strictly prohibited.

4.4. The Company reserves the right to remove or modify any listing that violates this Agreement or the Company's policies, without prior notice.

4.5. Sellers must provide accurate and detailed product descriptions, including images, specifications, and pricing.

5. Order Fulfillment and Customer Service

5.1. Sellers are responsible for timely order processing, packaging, and shipping in accordance with agreed-upon delivery timelines.

5.2. Sellers must provide adequate tracking information to buyers and promptly address customer inquiries and complaints.

5.3. Sellers must adhere to the Company's customer service policies and strive to maintain high customer satisfaction.

5.4. Consistently poor performance, including but not limited to late shipments, unresolved disputes, or negative customer feedback, may result in account suspension or termination.

6. Payment Processing and Financial Obligations

6.1. Payments will be processed through secure third-party payment gateways integrated with the Platform.

6.2. Sellers must provide valid and accurate banking or payment information for disbursement of sales proceeds.

6.3. The Company does not guarantee payment collection from buyers but provides fraud prevention measures.

6.4. Sellers are responsible for all applicable taxes, duties, and fees associated with their sales.

6.5. The Company reserves the right to withhold payments in cases of suspected fraud, policy violations, or pending disputes.

7. Intellectual Property and Licensing

7.1. Sellers grant the Company a non-exclusive, royalty-free, worldwide license to use product images, descriptions, trademarks, and other intellectual property for the purpose of marketing and promoting their products on the Platform.

7.2. Sellers warrant that they have the necessary rights and permissions to grant the license specified in Section 7.1.

7.3. Unauthorized use of third-party intellectual property is strictly prohibited. Sellers are responsible for ensuring their listings do not infringe on any intellectual property rights.

8. Termination and Account Suspension

8.1. The Company reserves the right to suspend or terminate a Seller's account for violations of this Agreement or the Company's policies, at its sole discretion, with or without notice.

8.2. Sellers may terminate their account by providing a 30-day written notice to the Company.

8.3. Upon termination, Sellers must fulfill all outstanding orders and settle any outstanding financial obligations.

9. Limitation of Liability and Indemnification

9.1. The Company shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from the Seller's use of the Platform, including but not limited to financial losses, lost sales, or reputational damage.

9.2. Sellers agree to indemnify, defend, and hold harmless the Company, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, and expenses arising from their use of the Platform or their breach of this Agreement.

9.3. The Company provides mediation support for disputes between Sellers and buyers but does not assume responsibility for their resolution.

10. Governing Law and Dispute Resolution

10.1. This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law principles.

10.2. Any dispute arising from or relating to this Agreement shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association ("AAA") in Delaware. If arbitration is not feasible, legal proceedings shall be conducted in the state or federal courts located in Delaware.

10.3. Sellers agree to waive any right to participate in a class action lawsuit or class-wide arbitration.

11. Amendments

11.1. The Company reserves the right to amend this Agreement at any time by posting the revised terms on the Platform.

11.2. Sellers are responsible for regularly reviewing the Agreement for updates. Continued use of the Platform after any amendments constitutes acceptance of the revised terms.

12. Entire Agreement

12.1. This Agreement constitutes the entire agreement between the Seller and the Company and supersedes all prior agreements and understandings.

By registering as a seller, you acknowledge that you have read, understood, and agreed to these terms and conditions.
